Jason Mandel, a partner in the Business Department of the Firm, recently spoke before the Pennsylvania Burglar & Fire Alarm Association’s Southeast Region. Jason walked the association members through the purchase/sale of the assets of an alarm monitoring company, focusing on liability, contract assignability and due diligence issues.

  • Apartment/Office Tower - Harrisburg, Pennsylvania
    Representation of the purchaser in the acquisition and financing of, and a private offering related to, a 25-story apartment and office tower, together with an accompanying 257-space parking facility.

  • Golf Course - Limerick/Lower Pottsgrove, Pennsylvania
    Representation of the purchaser in the acquisition of a controlling partnership interest in the owner of 177 acres of property, as well as construction financing for the development of an 18-hole championship golf course, clubhouse and associated facilities.

  • Office/Retail Tower - Philadelphia, Pennsylvania
    Representation of the purchaser in the acquisition and financing of, and a private offering related to, the purchase of limited partnership interests in the owner of a 12-story mixed-use commercial office/retail tower, including nine stories of Class AA office space, and a three-story department store, together with three floors of below-ground parking, in the heart of Center City Philadelphia.

  • Hotel - Trevose, Pennsylvania
    Representation of the purchaser in the acquisition and financing of a 215-room hotel, with a restaurant, lounge, fitness center, indoor pool, and more than 5,000 square feet of meeting space and banquet facilities.

  • Shopping Center - Phoenix, Arizona
    Representation of the seller in the sale of an approximately 55,000 square-foot neighborhood shopping center.

  • Car Dealership - Ardmore, Pennsylvania
    Representation of the seller in the sale of a 15,000 square-foot car dealership/service facility, and the sale of all dealership assets including all vehicles, parts, goodwill and related items.

  • Office Tower - Philadelphia, Pennsylvania
    Representation of the seller in the sale of a 15-story office tower in Center City, Philadelphia.

  • Hotel - Bensalem, Pennsylvania
     Representation of the purchaser in the acquisition of 2.05 acres of property for the development of a hotel which will consist of 128 hotel rooms, meeting space and banquet facilities, and is expected to open in the spring of 2006.

  • Supermarket - Philadelphia, Pennsylvania
    Representation of the borrower/developer in connection with the construction, financing and development of a recently opened 52,000 square-foot, state-of-the-art, specialty supermarket.

  • Supermarket Supply Agreements/Financing - Philadelphia Metropolitan Area -
    Representation of a chain of eight supermarkets located throughout the Philadelphia Metropolitan Area in negotiations with a supermarket wholesaler with regard to global supply agreements and financing.

  • Wholesale Distributor Financing – Philadelphia, Pennsylvania
    Representation of a wholesale distributor in connection with asset-based financing for a revolving credit loan.

  Litigation
 
  • Won $2 million dollar verdict for a business client in a two week bench trial involving claims of obsolete and excess inventory and uncollectible accounts receivables contributed as part of a merger.

  • Achieved complete defense verdict for a prominent alarm company in a one month, $100 million dollar jury trial involving claims of negligent installation, repair and monitoring of alarm equipment.

  • Won substantial monetary verdict for a golf course developer in a two week breach-of-contract trial before the American Arbitration Association.

  • Reached favorable product liability settlement for a manufacturer of exercise equipment in a multi-million dollar, two week Federal Court jury trial.

  • Achieved substantial monetary settlement for a software company in a Federal Court lawsuit involving misappropriation of trade secrets.
